DISTANCE SALES AGREEMENT

1. PARTIES

This Distance Sales Agreement (“Agreement”) is entered into electronically between the following parties, in accordance with the provisions of the Distance Sales Regulation published in the Official Gazette No. 29188 dated 27.11.2014.

2. DEFINITIONS

In the implementation and interpretation of this Agreement, the following terms shall mean:
- MINISTER: Minister of Customs and Trade,
- MINISTRY: Ministry of Customs and Trade,
- LAW: Law on the Protection of Consumers No. 6502,
- REGULATION: Distance Sales Regulation (Official Gazette No. 29188 dated 27.11.2014),
- SELLER: The company offering goods or services to consumers within the scope of its commercial or professional activities,
- BUYER: The natural or legal person acquiring, using, or benefiting from a good or service for non-commercial or non-professional purposes,
- WEBSITE: The website operated by the SELLER,
- PRODUCT: Movable goods subject to shopping, software, audio, visual and similar intangible goods prepared for use in electronic environment, and services offered for sale.

3. SUBJECT

The subject of this Agreement is the determination of the rights and obligations of the parties in accordance with the provisions of the Law No. 6502 on the Protection of Consumers and the Distance Sales Regulation, regarding the sale and delivery of the product(s) whose qualifications and sales price are specified below, ordered electronically by the BUYER through the SELLER’s website.

7. DELIVERY INFORMATION

The product will be delivered to the BUYER or the person/organization at the delivery address specified in the order. The SELLER is responsible for delivering the product in full, in accordance with the specifications stated in the order, along with warranty documents and user manuals, if any.

8. INVOICE INFORMATION

The Seller issues an electronic invoice to the Buyer based on the information provided in the order form. The Buyer is responsible for ensuring the accuracy of the invoice information.

9. GENERAL PROVISIONS

9.1. The Buyer acknowledges that they have read, understood, and are informed about the Seller’s main characteristics of the product/service, sales price, payment method, delivery conditions, and withdrawal rights through the Seller’s website prior to the conclusion of this Agreement. The Buyer declares acceptance by confirming this information electronically.

9.2. The Buyer confirms that they have been provided with accurate and complete information regarding the Seller’s name, address, phone number, basic features of the product/service, total price including taxes, payment method, delivery conditions, and withdrawal rights.

9.3. The Buyer agrees to pay the shipping fee unless otherwise stated by the Seller.

9.4. If the Buyer is not present at the delivery address, the Seller is not liable for any issues that may arise if the order is delivered to another person at the address.

9.5. After delivery, the Buyer is responsible for checking the product; damages caused by improper use or failure to check the product are not the responsibility of the Seller.

10. RIGHT OF WITHDRAWAL

10.1. In accordance with the Distance Sales Regulation No. 29188 in Turkey, the Buyer has the right to withdraw from this Agreement without providing any reason within 14 (fourteen) days from the delivery of the product to themselves or the person/organization at the delivery address.

10.2. To exercise the right of withdrawal, the Buyer must notify the Seller in writing via e-mail to [email protected] within the withdrawal period.

10.3. In case of withdrawal, the product must be returned to the Seller in its original packaging, unused, undamaged, and in a resalable condition, together with its invoice.

10.4. The Buyer is responsible for the return shipping costs unless otherwise stated by the Seller.

10.5. Following the proper exercise of the right of withdrawal, the Seller refunds the product price to the Buyer within 14 (fourteen) days.

11. PRODUCTS EXEMPT FROM WITHDRAWAL

Pursuant to Article 15 of the Distance Sales Regulation, the right of withdrawal cannot be exercised for the following products/services:
- Goods prepared in line with the consumer’s requests or clearly personalized,
- Goods that are perishable or may expire quickly,
- Goods that are unsuitable for return due to health and hygiene reasons, if their protective packaging is opened after delivery,
- Goods that are mixed with other products and cannot be separated by nature,
- Services rendered instantly in electronic environments or intangible goods delivered instantly to the consumer,
- Audio or visual recordings, software programs, and computer consumables, provided that their packaging has been opened by the Buyer.

12. DEFAULT AND LEGAL CONSEQUENCES

If the Buyer defaults on payment by credit card, the Buyer acknowledges and agrees that they will be liable to the card-issuing bank under the credit card agreement. In this case, the Seller may initiate legal proceedings and claim any incurred damages and expenses.

13. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by the laws of the Republic of Turkey. In disputes arising out of this Agreement, the Consumer Arbitration Committees up to the monetary limits announced by the Ministry of Trade, and the Consumer Courts of the Buyer’s place of residence shall have jurisdiction.

14. ENFORCEMENT

This Agreement, consisting of 14 articles, is read, accepted, and confirmed electronically by the Buyer. The Agreement enters into force at the moment the Buyer places the order and is binding on both parties.
